Terms of Service

These Terms of Service ("Terms") are a binding agreement between HomeSpot LLC ("Homespot", "we", "us" or "our") and the organisation or individual that subscribes to or uses the Homespot platform and related services (the "Service"). By creating an account, or by accessing or using the Service, you agree to these Terms. If you enter into these Terms on behalf of a company or organisation, you represent that you have authority to bind it, and "you", "Customer" or "your" refers to that organisation.

If you do not agree to these Terms, do not use the Service.

Definitions

  • "Customer" — the real estate agency or other organisation that subscribes to the Service.
  • "Authorized User" — an individual the Customer permits to access the Service under its account (for example, the Customer's staff).
  • "Customer Data" — data, including personal data, that the Customer or its Authorized Users submit to, or that the Service collects on the Customer's behalf (including contacts, leads, listings and messages from connected channels).
  • "Connected Channels" — third-party accounts (such as Facebook, Instagram, WhatsApp or Google) that the Customer connects to the Service.

Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your registration information, for keeping your credentials confidential, and for all activity under your account. Notify us promptly at contact@homespot.ge of any unauthorised use. Each Authorized User must keep their own login secure; accounts may not be shared except as the Service permits.

The Service and licence to use

Subject to these Terms and payment of applicable fees, we grant the Customer a limited, non-exclusive, non-transferable and non-sublicensable right to access and use the Service for its internal business purposes during the subscription term. We may update, improve or modify the Service over time, and may set reasonable usage limits.

Subscriptions, fees and payment

  • Plans and fees. The Service is provided on a subscription basis at the fees and for the billing period shown at sign-up or in your order.
  • Payment. Payments are processed by our third-party payment provider, Flitt. By subscribing, you authorise us (through our provider) to charge the applicable fees to your selected payment method.
  • Renewal. Subscriptions renew automatically for successive periods unless cancelled before the renewal date, at the then-current price.
  • Changes to fees. We may change fees on reasonable advance notice; changes take effect at the next renewal.
  • Taxes. Fees are exclusive of taxes, which you are responsible for unless stated otherwise.
  • Late or failed payment. We may suspend the Service if fees are overdue.
  • Refunds. Except where required by applicable law or expressly stated, fees are non-refundable.

Customer Data and ownership

As between the parties, the Customer owns all Customer Data. The Customer grants us a worldwide, non-exclusive licence to host, process, transmit and display Customer Data solely to provide and support the Service and as otherwise permitted in these Terms.

Where Customer Data includes personal data, we process it as the Customer's processor in accordance with our Privacy Policy and, where applicable, a Data Processing Agreement between the parties. The Customer is responsible for ensuring it has a lawful basis and any required consents to collect and process Customer Data — including for messages sent or received through Connected Channels and for any marketing or commercial communications.

Acceptable use

You agree not to, and not to allow others to:

  • use the Service in violation of any applicable law, including data protection and anti-spam laws;
  • send unsolicited, deceptive or unlawful messages, or otherwise misuse messaging features or Connected Channels;
  • upload unlawful, infringing, harmful or malicious content;
  • attempt to gain unauthorised access to the Service or other accounts, or interfere with its operation or security;
  • reverse engineer, decompile or attempt to extract source code, except to the extent this restriction is prohibited by law;
  • resell, sublicense or provide the Service to third parties except as expressly permitted; or
  • use the Service to build a competing product.

We may investigate and take appropriate action, including suspending or terminating accounts, for violations.

Third-party services and Connected Channels

The Service integrates with third-party platforms such as Meta (Facebook, Instagram, WhatsApp) and Google. Your use of those platforms through the Service is also subject to those platforms' own terms and policies — including the applicable Meta Platform Terms, WhatsApp Business policies and Google API terms — and you agree to comply with them. We are not responsible for third-party platforms, and they may change or discontinue access to their APIs in ways that affect the Service.

Intellectual property

The Service — including all software, design, text, graphics, trademarks and other content (excluding Customer Data) — is owned by Homespot or its licensors and protected by intellectual property laws. Except for the limited rights granted here, we reserve all rights. You may not use our name, logos or trademarks without our prior written consent. If you provide feedback or suggestions, we may use them without restriction or obligation to you.

Confidentiality

Each party may receive confidential information of the other. The receiving party will use it only to perform under these Terms and will protect it with reasonable care. This does not apply to information that is public, independently developed, or rightfully obtained from another source, or to disclosures required by law.

Service availability and support

We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may perform maintenance and may suspend the Service where necessary for security or operational reasons.

Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory — including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement — to the maximum extent permitted by law. We do not warrant that the Service will meet your requirements or that defects will be corrected.

Limitation of liability

To the maximum extent permitted by applicable law:

  • neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill; and
  • our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the fees paid by the Customer to us in the 3 months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

Indemnification

You will defend and indemnify Homespot against third-party claims, damages and costs arising from your Customer Data, your use of the Service in breach of these Terms, or your violation of law or third-party rights, except to the extent caused by us.

Term, suspension and termination

These Terms apply while you use the Service. Either party may terminate as set out in your plan or for material breach that is not cured within 120 days of notice. We may suspend or terminate access immediately for non-payment, security risks, or violations of Section 6.

On termination, your right to use the Service ends. We will make Customer Data available for export for a limited period as described in our Privacy Policy and our agreement with you, after which we may delete it in the ordinary course. Provisions that by their nature should survive — including ownership, confidentiality, disclaimers, liability limits and governing law — survive termination.

Changes to these Terms

We may update these Terms from time to time. For material changes, we will provide reasonable notice (for example, through the Service or by email) and update the "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance.

Governing law and disputes

These Terms are governed by the laws of Georgia, without regard to conflict-of-laws rules. The parties will attempt to resolve disputes amicably; failing that, disputes will be subject to the exclusive jurisdiction of the courts of Tbilisi, Georgia

General

  • Entire agreement. These Terms, together with any order, the Privacy Policy and any Data Processing Agreement, are the entire agreement between the parties regarding the Service.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
  • Severability. If any provision is unenforceable, the rest remains in effect.
  • Waiver. Failure to enforce a provision is not a waiver.
  • Notices. We may provide notices through the Service or to your account email.
